Terms of Service

Effective date: October 19, 2026

These Terms of Service (“Terms”) govern your use of the nico-tek.com website and the services provided by Nico Tek Solutions, operated by Nicolas Roldos in Bethesda, Maryland (“Nico Tek,” “we,” “us”). By using this site, creating an account, or purchasing a service, you agree to these Terms.

1. Services

Nico Tek provides web design and development, web GIS and location-intelligence solutions, SEO and digital marketing, iOS development, and cloud consulting. Services are offered as one-time packages (such as strategy sessions and proof-of-concept sprints), recurring retainers billed monthly or quarterly, and custom consulting engagements defined by a written proposal or statement of work (“SOW”).

2. Subscriptions & Renewal

  • Retainer subscriptions renew automatically at the end of each billing period (monthly or quarterly) until cancelled.
  • You may cancel at any time by emailing nico@nico-tek.com. Cancellation takes effect at the end of the current billing period.
  • Pricing changes never apply retroactively; we will give at least 30 days’ notice before a renewal price changes.

3. Consulting Engagements

  • The scope of a consulting engagement is defined by the accepted proposal or SOW. Work outside that scope requires a written change agreement.
  • You agree to provide timely access to the materials, accounts, and feedback reasonably needed to perform the work. Schedules extend day-for-day when required inputs are delayed.
  • Deposits secure a start date and are credited toward the project total.

4. Payments & Taxes

  • Payments are processed by Stripe. We never see or store your card number.
  • Prices are in U.S. dollars and exclude applicable sales tax, VAT, or GST, which is calculated at checkout based on your billing address.
  • Invoiced work is due on the terms stated on the invoice. Late amounts may pause ongoing work.

5. Intellectual Property

  • Upon full payment, you own the final deliverables created specifically for you under an engagement.
  • We retain ownership of pre-existing tools, libraries, templates, and know-how used to build deliverables, and grant you a perpetual, non-exclusive license to use them as embedded in your deliverables.
  • Unless you ask us not to in writing, we may reference completed work (name, logo, screenshots) in our portfolio and marketing.

6. Accounts

Some features require an account. You are responsible for safeguarding your credentials and for activity under your account. We may suspend accounts used to abuse the site, interfere with other users, or violate the law.

7. Acceptable Use

You may not use the site or services to violate any law, infringe others’ rights, distribute malware, or attempt to gain unauthorized access to any system.

8. Third-Party Services

Deliverables may depend on third-party platforms (for example AWS, Stripe, Google, Mapbox, or Esri). Their availability and terms are outside our control, and your use of them is governed by their own agreements.

9. Disclaimer of Warranties

The site and services are provided “as is.” We work to a professional standard but do not guarantee specific business outcomes, such as search rankings, traffic, or revenue.

10. Limitation of Liability

To the maximum extent permitted by law, Nico Tek’s total liability arising out of or relating to the services is limited to the amounts you paid us in the twelve (12) months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

11. Termination

Either party may end an engagement with written notice. You remain responsible for fees for work performed through the effective date of termination, and we will hand over completed and paid-for work product.

12. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Maryland.

13. Changes to These Terms

We may update these Terms from time to time. The effective date above reflects the latest revision; material changes to active subscriptions will be communicated by email.
